FIDIC施工分包合同 一、引言――菲迪克彩虹系列添新成员 FIDIC合同文本（彩虹系列）是在长期国际工程实践中形成、发展起来的 最佳实践的结晶。自80年代中期FIDIC合同文本引入我国后，对我国工程体制的 发展及完善产生了巨大的影响。国际上，FIDIC文本的应用也越来越广，FIDIC 合同文件被国际工程界奉为国际承包工程的“圣经”。

继1999年红皮书、黄皮书、银皮书后，FIDIC于2008年9月在加拿大魁北克 省举行年会上推出了金皮书，现在FIDIC又推出了FIDIC施工（1999红皮书）分 包合同（2009年实验版）。“FIDIC彩虹系列”又增添新成员。

笔者现根据相关资料对FIDIC施工（1999红皮书）分包合同（2009年试用版） 进行初步的、简单的介绍，供对FIDIC分包合同感兴趣的人士参考，并希望能够 引起政府相关部门及“走出去”的建筑企业的重视。对中国企业而言，分包合同的 重要性不亚于总包合同，因为在国际建筑工程领域，面临着大量的分包法律关系， 绝大多数中国施工企业是从分包起步的，即使能做总包了，也有大量的工程要分 包出去。如何控制分包风险，确实需要好好研究FIDIC新版施工分包合同。

二、FIDIC施工（1999红皮书）分包合同制定背景及特点 1、背景 在FIDIC1999年第1版红皮书、黄皮书、银皮书出版后，要求FIDIC编制分 包合同文件的要求就甚嚣尘上！当然，要求FIDIC编制分包合同文件的原因有许 多，但其中一个或许最重要的原因是多边开发银行（Multilateral DevelopmentBanks）的持续要求，因为多边开发银行在给EPC合同项目提供财政及贷款时， 迫切需要一个能被国际间认可的分包合同文本。实际上，从1999年第1版的三个 主合同发布后到现在，FIDIC没有编制同主合同配套使用的分包合同文件。原因 在于：一、FIDIC认为，分包法律关系是总承包商负责的范围而不是咨询工程师 负责的范围；
二、FIDIC认为，自己资源有限；
三、欧洲国际承包商联合会（EIC） 明确反对，称分包合同文件的编制是承包商组织的事务而不是咨询工程师组织的 事务；
四、FIDIC编制的世界级的分包合同的出售情况不理想等，故FIDIC编制 分包合同一事就搁置下来。

FIDIC编制的第一个分包合同文件于1994年发布，或许是世界上第一个国 际级的标准分包合同文件。该分包合同文件同1992年发布的《土木工程施工合同 条件》第4版）（1987年红皮书）配套使用。现在被称之为“试用版”的《施工（1999 红皮书）分包合同》就是在1994版分包合同的基础上编制而成的。

2、特点 （1）2009年试用版的FIDIC施工（1999红皮书）分包合同编排遵循了先前 FIDIC主合同20条的传统编排及通用条款及特殊条款的布局。通用条款规定施工 分包合同共性的内容，特殊条款则根据分包工程具体情况、工程所在地具体情况 和工程所在地法律的规定对通用条款进行补充、明确、修改或者作出相应的新规 定。通用条款和特殊条款一起构成合同双方的权利及义务，分包商承担起了主承 包商在主合同项下分包工程的责任及义务。

（2）分包合同文件以一组流程图开始,该流程图以形象的方式表明了分包 合同中关键事项来理解分包合同的程序及术语，流程图有三项包括分包施工合同 中主要事项的典型顺序、第十四条中设想的分包合同付款事项的典型顺序、第二 十条中设想的分包合同解决争议事项的典型顺序， （3）尽管分包合同编制小组十分清楚“附条件支付”条款（pay-when-paid） 在有些国家没有法律效力，分包合同编制小组仍然在分包合同通用条款中保留了 广受争议的“附条件支付”条款（pay-when-paid）。

何为“附条件支付”条款？附条件支付条款明确规定建筑合同项下的付款 以第三方付款为条件，最常见的是，分包合同规定主承包商在收到雇主的相应付 款之前，其不会向分包商付款。该等条款被称为“附条件支付”条款，是主承包商 将雇主无法付款的风险转移给分包商。在特殊条款编制指引中对通用条款中“附条件支付”条款（pay-when-paid） 如何修改调整符合合同准据法有明确指导及示范条款。

（4）特别要强调的是，由于分包工程引起并根据主合同条款规定，主承 包商必须向雇主索赔时，分包合同文件的起草者在分包合同中引入“停工期” （suspension period）的概念 （5）合同文件对争议解决给予了重点关注。分包合同通用条款第20条规 定了非常设的分包合同争议裁决小组来处理分包索赔。

三、FIDIC施工（1999红皮书）分包合同编制小组及成员介绍 分包合同的编制是在FIDIC合同委员会指导下进行的，该合同委员会包括 （2009年9月前）Axel-Volkmar Jaeger（咨询工程师，德国人，主席)；
Christopher Wade，（咨询工程师，英国人，前主席)；
Philip Jenkinson（ Atkins，英国人）；

Nael Bunni（特许工程师，爱尔兰人）；
法律顾问Christopher Seppala,(White and Case LLP,，法国人)；
